1. The following Terms and Conditions apply to every person who applies to be a member of this website and app/ or engages the services of Ukraine Brides Agency for any reason. They are to protect both members (men and the women) listed on the website/app from any illegal or scamming activity and to ensure that all members (men and women) who join and use this website/app can do so in a safe and secure manner. By registering through our website or app you agree to be bound by these Terms and Conditions including any amendments posted to this website/app by Ukraine Brides Agency at any time. In the event of inconsistency between these Terms and Conditions and any other communication entered into between you and Ukraine Brides Agency then these Terms and Conditions shall take precedence at all times. Any amendments will be effective immediately upon being updated to this website/app.

2. Definitions

   1. “Ukraine Brides Agency” shall mean Simply Dating Network Limited, incorporated under New Zealand law with its registered office at Level 1, Findex House, 57 Willis Street, Wellington 6011, New Zealand, company number 2233567; and Simply Dating Network Limited, incorporated under UK law with its address at 124 City Road, London EC1V 2NX, United Kingdom, company number 10813406. All card payments made on the website/app will be serviced by Simply Dating Network Limited (UK entity) and shall be governed by and construed in accordance with the laws of the United Kingdom. Payments made on the website/app through Paypal will be serviced by Simply Dating Network Limited (New Zealand entity) and shall be governed by and construed in accordance with the laws of New Zealand. All in-app purchases made through the Google Play Store, and the Apple App Store, will be processed by the store you originally downloaded the application from. You may access the applicable "in-app" purchase rules and policies directly from the applicable app store(s).
   2. “Website” shall mean https://www.ukrainebridesagency.com.
   3. “App” shall mean the Ukraine Brides Agency mobile application available for download on the Apple App Store or Google Play Store.
   4. “Terms and Conditions” shall mean these terms and conditions including any amendments posted on the website/app by Ukraine Brides Agency from time to time.
   5. “IMBRA” means IMBRA Act of 2005 of the United States Federal Statutes.

3. Collection and use of information

   1. Ukraine Brides Agency provides services to people looking to find a partner for a genuine relationship. Ukraine Brides Agency is committed to providing a safe environment for you to meet, converse with and get to know other people. Ukraine Brides Agency acts at all times as a safe conduit for you to distribute your profile information to others.
   2. By becoming a member of the Ukraine Brides Agency website/app, you grant Ukraine Brides Agency a non-exclusive, worldwide right to use, display, and distribute your information solely for the purpose of providing and improving the services offered through the website/app. This may include sharing your information with third-party service providers who assist us in delivering these services. We will not use your information for any other purpose without your explicit consent.
   3. Ukraine Brides Agency will not be liable to you or any other party for any use it makes of your information provided by you to Ukraine Brides Agency.
   4. You agree to provide accurate and truthful information about yourself when using the website/app and in communication with other members. You agree not to use the website/app for any illegal activities, the transmission of chain letters or junk email to other members, harass, abuse, solicit or advertise to any other member.
   5. You may request a lady’s contact details but there is no requirement for the contact details to be provided.

4. Membership

   1. To become a member and retain membership of Ukraine Brides Agency and access to the website/app you must:
      1. Have the capacity to enter a legally binding contract.
      2. Be twenty five (25) years of age or older.
      3. Not have been convicted of a violent or sexually related criminal offence in any country.
      4. Not have previously been banned from using this website/app or any other similar website/app.
      5. Not be directly or indirectly involved (in any capacity) in the operation of a service that competes with the services of Ukraine Brides Agency.
      6. Not be currently married or in a long term relationship.
      7. At all times provide accurate and truthful information about yourself when using the website/app and in communication with other members.
      8. Not use the website/app for any illegal activities.
      9. Not transmit any chain letters or junk email to other members, harass, abuse, solicit or advertise to any member.
      10. Not pursue any goals of monetary gain through the contacts originated from the use of the website/app and confirm you are aware that such use will be considered a breach of these Terms and Conditions resulting in termination of your membership.
      11. Not include any obscene language or obscene images in any communications with Ukraine Brides Agency members.
      12. Follow all communication terms outlined in the section below.
   2. Ukraine Brides Agency reserves the right in its sole discretion to refuse access to its website/app by any person without having to provide any reason for doing so.
   3. Website/app content is the sole property of Ukraine Brides Agency and is protected by copyright, trademark and other intellectual property laws. Except as otherwise explicitly agreed in writing Ukraine Brides Agency owned content received through the website/app may be downloaded, displayed, reformatted and printed for your personal non-commercial use only through the means of a private home device solely for the purposes of meeting a partner in accordance with these Terms and Conditions.
   4. You shall not reproduce, retransmit, distribute, sell, publish, broadcast or circulate or in any way disclose or use for circulation the information received from the website/app to anyone else including but not limited to your friends, family or colleagues without Ukraine Brides Agency’s prior written consent.
   5. All information published on Ukraine Brides Agency’s website/app on behalf of its members is displayed solely for the purposes of Ukraine Brides Agency’s services and the website/app and its members and that information may not be used for any other purpose whatsoever.

5. Credits

   1. Credits do not expire. They are always available to use.
   2. Unused credits are refunded to members on request.
   3. Credits used on communicating with a lady who is subsequently proven to be less than genuine in her search for a man will be refunded.
   4. Credits are only purchased as needed. There are no recurring fees.
   5. Credits purchased can be used on any feature on the website/app (does not include travel).

6. Communication

   1. Ukraine Brides Agency provides systems to facilitate communication between members on the website/app, primarily using the messaging and live chat systems. In communicating with other members on the website/app, you must:
      1. Not communicate with or attempt to communicate with any person who has indicated that he or she does not wish to communicate with you or does not wish to continue to communicate with you.
      2. Not include contact details in any form during communications on the site.
      3. Not include any obscene language or obscene images in communications with any Ukraine Brides Agency members.
      4. Not include written text in message attachments.
      5. Not include links to other websites/apps in communications.
      6. Not communicate with or attempt to communicate with any Ukraine Brides Agency members via the members social media pages or outside of the website/app, unless you and the other member have exchanged contact details.
   2. You authorise messages to be vetted to ensure the terms above are followed. Ukraine Brides Agency is authorised to restrict, exclude or remove any information which breaches these rules or for any other reason at our own discretion.

7. Termination

   1. Ukraine Brides Agency may terminate any membership at any time for any reason whatsoever.
   2. If Ukraine Brides Agency terminates your membership because you have breached these Terms and Conditions you will not be entitled to a refund of your current account balance, nor any credits you have used to communicate with any ladies.
   3. Ukraine Brides Agency reserves the right to decline to register, suspend or terminate any membership without entering into further discussions with you. Without limiting the foregoing, Ukraine Brides Agency may terminate your membership if:
      1. A serious complaint or multiple complaints have been received about you from other members which Ukraine Brides Agency has reasonable grounds to believe are well founded.
      2. You breach these Terms and Conditions.
      3. You impersonate another member.
      4. You provide false information about yourself or others.
      5. If Ukraine Brides Agency in its sole discretion deems your behaviour to be unacceptable.
   4. The website/app is for personal use of individual users only and may not be used for any other purpose than meeting a partner for a genuine relationship. If you do not intend to meet a partner for a genuine relationship you must refrain from using this website/app. The use of this website/app for any other purpose is strictly prohibited.
   5. Ukraine Brides Agency reserves the right to delete or remove any content posted by you from the website/app and to restrict, suspend or terminate your access to the website/app at any time if Ukraine Brides Agency has reasonable cause to do so (including but without limitation our good faith belief that you have violated these Terms and Conditions) without prior notice and without any liability to you or anyone else whatsoever.
   6. If you elect to terminate your account you must advise Ukraine Brides Agency by e-mail. Termination of your account will be effective from our receipt of your e-mail. There are two types of account termination available:
      1. Deactivation (recommended) hides your profile from other members on the website/app and stops you from receiving any emails. All data associated with your account is retained indefinitely (i.e. conversations, chats, transaction history, etc) and your account can be reactivated in future if requested by email. This method of termination will be used unless otherwise explicitly stated in your termination request.
      2. Anonymisation is a non-reversible process that anonymises or removes all stored information that you have entered on the website/app such that it cannot be used to identify you as an individual except where it is necessary to retain information to satisfy our IMBRA expectations for US citizens (e.g. contact details and meeting requests) or for any other legal requirement.
   7. Where a member voluntarily terminates their membership Ukraine Brides Agency will refund the balance of your account via PayPal if requested by the member.
   8. Notwithstanding termination of your membership you agree to remain legally bound by these Terms and Conditions and agree that at the time of termination you will no longer use any information you have obtained from the website/app and / or Ukraine Brides Agency and shall delete such information immediately.

8. Pricing and fees

   1. You agree to pay all fees and charges including introduction fees and fees for any other services provided by Ukraine Brides Agency at any time.
   2. Ukraine Brides Agency reserves the right to change fees charged or introduce new fees at any time.
   3. There is a personal introduction fee payable when a man and woman consent to meet. This fee will be part of the personal introduction package arranged by Ukraine Brides Agency. A quote for each individual package including travel, airport transfers and accommodation will be provided and must be paid in full in advance.

9. Simply Dating Network

   1. Ukraine Brides Agency is part of the Simply Dating Network. The Simply Dating Network is made up of the following websites and app:
      • https://www.simplydating.com
      • https://www.ukrainebridesagency.com
   2. Your registration on Ukraine Brides Agency means that you accept that your profile will be active on all websites/apps in the Simply Dating Network until you request that your profile is deactivated or anonymised. If you request that your profile is deactivated or anonymised, it will be deactivated or anonymised from all websites/apps in the Simply Dating Network.

10. Warranty

    1. Ukraine Brides Agency will abide by its company principles posted on its website/apps from time to time. Notwithstanding these Terms and Conditions Ukraine Brides Agency makes no warranty that:
       1. The service provided will be uninterrupted, timely, secure or error free.
       2. The information provided on the website/app is error free or reliable.
       3. The quality of any products or services obtained through the website/app will meet your requirements.
       4. Members are who they say they are.

11. Limitation of liability

    1. Ukraine Brides Agency shall not be liable under any circumstances for any direct or indirect, incidental, special, consequential, exemplary loss or damages including but not limited to damages for loss of profit, goodwill use, data or other intangible losses that result from Ukraine Brides Agency’s services or website/app or the inability to access Ukraine Brides Agency’s services or website/app.
    2. Ukraine Brides Agency shall not be liable for the cost of procurement of substitute goods or services claimed by any member.
    3. Ukraine Brides Agency shall not be liable for the conduct or statements of members or third parties in relation to its services.

12. Indemnity

    1. Ukraine Brides Agency takes all reasonable steps to properly vet all applicants who wish to be a member of Ukraine Brides Agency’s website/app (both men and women) in order to maintain a genuine service.
    2. Whilst Ukraine Brides Agency does not guarantee that every member of their website/app is genuine they do offer a refund of costs of communicating with any lady that after an investigation by Ukraine Brides Agency it is determined that they are attempting to scam any members.
    3. If a man purchases a lady’s contact details and communicates directly with her instead of through the Ukraine Brides Agency website/app then they will not be entitled to claim a refund if the woman they have been communicating with is determined to be scamming following an investigation by Ukraine Brides Agency. Ukraine Brides Agency can not be responsible for communications that occur outside of the website/app, nor can such communication be used as part of an investigation into scamming.
    4. You agree to fully indemnify Ukraine Brides Agency from and against all claims, liability, loss, costs and expenses (including legal costs on a full solicitor / client basis) incurred or suffered by Ukraine Brides Agency in respect of or in connection with:
       1. Information contained in your profile.
       2. Any material, including (without limitation) photos and messages you post to or enter on the website/app.
       3. Your communications with or behaviour towards other members.
       4. Any death, personal injury or damage to property you may cause.
       5. Your breach of these Terms and Conditions or any applicable laws.

13. Resolution of disputes

    1. Ukraine Brides Agency is not a party to any dispute between you and another member. Accordingly you agree:
       1. Not to involve or attempt to involve Ukraine Brides Agency in any dispute or in the resolution of disputes that arise between you and another member as a result of the services provided by Ukraine Brides Agency.
       2. Not to use the services or website/app to engage in or attempt to resolve the dispute.

14. IMBRA law for US citizens

    1. Ukraine Brides Agency abides by the US IMBRA laws introduced to protect overseas women from unsuitable USA men who meet via international dating agencies. All US citizens who wish to travel to meet women from our website/app through Ukraine Brides Agency must comply with the IMBRA laws.
    2. To maintain the highest standards Ukraine Brides Agency may request that non-US citizens complete the US IMBRA forms as part of their process of vetting applicants.
    3. Should an applicant for membership refuse to complete those forms following a request to do so by Ukraine Brides Agency then they shall not be permitted to become a member and will be declined access to the Ukraine Brides Agency website/app.

15. Miscellaneous

    1. These Terms and Conditions comprise the entire agreement between you and Ukraine Brides Agency regarding use of its website/app and the provision of Ukraine Brides Agency’s services and including any amendments to the Terms and Conditions made by Ukraine Brides Agency from time to time.
    2. If any provision of these Terms and Conditions shall be invalid, void or illegal or unenforceable the validity, existence, legality and enforceability of the remaining provisions shall not be affected, prejudiced or impaired in any way.
    3. Failure by Ukraine Brides Agency to enforce any of the Terms and Conditions contained herein shall not be deemed to be a waiver of the rights or obligations Ukraine Brides Agency has under these Terms and Conditions.
    4. Ukraine Brides Agency shall not be liable for any delay or failure to perform its obligations in relation to the operation of its website/app or the provision of services.
